Shiloh has represented the legal interests of businesses and creative professionals since 2002. A former police officer, Shiloh started his legal career as a litigation attorney at the premier law firm Gibson, Dunn & Crutcher LLP before becoming General Counsel and COO of a global telecom start-up, later starting his own business law practice. A Texas lawyer since 2008, Shiloh started practicing in 2002 after graduating from UCLA Law and is licensed in both Texas and California. Shiloh’s interest in data privacy law led him to become certified by the International Association of Privacy Professionals as both a Certified Information Privacy Professional, US (CIPP/US) and a Certified Information Privacy Manager (CIPM). Shiloh is a member of the Texas Bar College and serves as co-chair of the Austin Bar Association’s Corporate, Business & Tax Section.
David is an experienced senior business and securities lawyer, helping people and businesses through various stages of a business venture - from formation through growth, third party investments, and ultimately sale. David’s broad business law experience includes Regulation D Private Placement Offerings, Mergers and Acquisitions, Business Entity Formations, Incentive Compensation Plans, Commercial Leases, as well as outside general counsel support. Having worked as an investment banking analyst before beginning his legal career, David also has both an MBA and Masters in Business Transactions. David and Shiloh met while working together at another law firm and quickly realized they shared a common approach to practical and efficient business law services for their clients.
Ajitav “Mick” Misra
Mick is an experienced corporate and tax lawyer who prides himself on taking a commercially-minded approach to problem-solving. Mick’s practice focuses on tax and corporate transactions for small and mid-market companies across the globe, for industries that have included renewable energy, finance, private equity, and emerging technologies. In addition to providing guidance on tax implications of sales and acquisitions, international transactions, capital raising, and asset and company dispositions, Mick’s corporate law experience includes traditional M&A, sales of companies to private equity firms, formations and expansion, as well as sales of portfolios, formation of U.S. joint ventures for foreign companies, and raising capital.
Adriana Lopez-Ortiz
Adriana comes to the firm with a diverse business/corporate law practice from working in-house and in past firms with business and creative clients including both individuals and startups, as well as established regional, national and international companies. In addition to drafting/reviewing/negotiating complex supply chain and other commercial agreements, she has served as outside general counsel to businesses in multiple sectors. Adriana’s corporate practice includes formations and reorganizations, governance, transactions, M&A, as well as commercial real estate matters for buyers, sellers, landlords, and tenants. Adriana enjoys serving Austin’s creative community with experienced entertainment law support, and her working knowledge of the tech space, digital advertising trends, and technology regularly come into play while working on SaaS master agreements, development partnerships, distribution agreements, OEM agreements, and more.
